T-Mobile’s Acquisition of U.S. Cellular’s Wireless Operations: A Strategic Move to Expand Coverage

In a strategic move to enhance its coverage and expand its customer base, T-Mobile announced on Tuesday that it will acquire almost all of U.S. Cellular’s wireless operations, including customers, stores, and 30 percent of its spectrum assets. Valued at $4.4 billion, this deal marks a significant milestone for both telecom giants.

This acquisition comes as no surprise, as U.S. Cellular had been exploring strategic options for the past ten months. The news of the deal sent U.S. Cellular’s shares soaring over 10 percent before the bell, indicating investor confidence in the move. However, U.S. Cellular will still retain ownership of about 70 percent of its spectrum, as well as its equity-method investments and 4,400 telecom towers.

To fund the acquisition, T-Mobile plans to utilize a combination of cash and debt. The telecom giant will assume up to $2 billion of debt through an exchange offer to some of U.S. Cellular’s debtholders. Despite the financial implications of the deal, T-Mobile assures its shareholders that it does not expect any impact on its financial forecast or shareholder return program for 2024.

One of the key benefits T-Mobile anticipates from this acquisition is an estimated yield of about $1 billion in operating expense and capital spending cost synergies. By consolidating operations and streamlining resources, T-Mobile aims to optimize efficiency and drive profitability in the long term.

The deal is projected to close in mid-2025, pending regulatory approvals. Shareholders are not expected to take any action in response to the acquisition, according to U.S. Cellular. Furthermore, Telephone and Data Systems, holding an 83 percent stake in U.S. Cellular, has already provided written consent approving the deal.

This acquisition aligns with T-Mobile’s overarching goal of providing improved coverage and network capabilities to its customers. By acquiring U.S. Cellular’s wireless operations, T-Mobile will be able to leverage their existing infrastructure, customer base, and spectrum assets. Additionally, T-Mobile will become a long-term tenant on at least 2,600 of U.S. Cellular’s telecom towers, further solidifying its network expansion plans.
